Liability and Indemnity
Without prejudice to any other terms of this Agreement relating to the limitation of liability and provision of indemnities, the following shall apply. We shall have no liability to you for damage arising from transmission errors, technical faults, illegal intervention in network equipment, network overloads, malicious blocking of access by third parties, or other deficiencies on the part of internet service providers, and you acknowledge that access to MGK may be limited or unavailable due to such system errors, and that we may suspend access to MGK upon notice for this reason. We shall not be liable in the event that any viruses, software bombs or similar items are introduced into the system via MGK’s website or any software provided by us, and you will ensure that no such items are introduced from your system into ours and will indemnify us for any losses arising as a result of such introduction. We shall not be liable for any act taken by or on the instruction of a leading bank, clearing house or regulatory body, nor for the default of any counterparty, bank or other entity which holds money on your behalf or through whom transactions are conducted, and we will not be liable for losses connected to funds held by us unless such loss directly arises from our gross negligence, wilful default or fraud. In addition, the Company reserves the right, at its sole discretion, to determine whether a pricing error (“Manifest Error” or “Off-Market Quote”) has occurred, including but not limited to situations where a displayed price materially deviates from the prevailing market price at the time of execution, is clearly erroneous due to a technical glitch, system failure or data-feed delay, or results from an error by the Company’s liquidity providers. If a transaction is executed at a price the Company determines to be a Manifest Error, the Company may, without prior notice, declare the transaction void from the outset, amend the opening and/or closing price to reflect the correct market price at the time of execution, or adjust the balance of the Client’s Account to reflect the profit or loss that would have arisen had the trade been executed at the correct price. The Company shall not be liable for any losses, lost profits, or missed trading opportunities, whether direct or indirect, arising from a Manifest Error or from any corrective actions taken by the Company in connection with such transactions.
